Business Formation. We
prepare articles of incorporation, articles of organization, partnership
agreements and other documents necessary for the legal formation of corporations, limited
liability companies and partnerships. We assist the client in choosing the
most advantageous business form relative to their business needs. We
also structure the business form using "preventive law" with an
eye towards events such as dissolution, partner or member disputes,
arbitration, etc. We can also assist the client in reviewing
possible lease agreements, employee contracts, employee handbooks and most any

Lending. We represent lenders and borrowers in
commercial loan transactions. Over the past 14 years, we have structured
loan transactions with a total value in excess of $100,000,000.00. We
regularly represent consumers who have been
injured or defrauded by large corporate lenders. |

and Employment. The Firm also serves the labor and employment needs of its corporate clients.
The focus of the firm's labor and employment practice is geared almost
exclusively towards management. The wide range of services provided
by the firm in this area include, for example, the audit and revision of
employment policies and handbooks, implementation of an internal and external
alternative dispute resolution program for existing and new employees, and consultation on employment matters.
The Firm is available to help employers design, implement and
administrate sexual harassment policies and draft
employer-employee communications with a concern for fiduciary issues. The
Firm regularly defends employers in all aspects of employment litigation,
including employment discrimination, wrongful termination and other employment
related matters. We also handle employment related litigation with respect to corporate
trade secret misappropriation and employment contracts, and represent corporate
employers in all aspects of Alternative Dispute Resolution (mediation,
arbitration and conciliation) before both state and federal level agencies. |
